When a car is bought on a loan, the lender's name goes on the registration certificate. That line stays there after the last EMI is paid. It comes off only when the owner and the lender tell the RTO that the agreement has ended, and the RTO records it. Until then the car cannot be transferred cleanly, and for a pre-owned dealer that is the difference between a car you can sell this week and a car waiting on a bank.

What hypothecation on the RC means
Hypothecation is the lender's charge on the car while the loan runs. The registration record carries an entry for it, usually shown as the car being hypothecated to a named bank or finance company. As our RC transfer guide puts it, the RTO will not transfer a car with hypothecation still live on the RC.
Closing the loan does not remove the entry by itself. The bank closes the account in its own books; the RTO's record changes only when someone applies to have the entry cancelled. Plenty of owners never do, which is why cars with a loan paid off years ago still arrive at showrooms with a bank's name on the RC.
What you need
- The lender's NOCA no objection certificate from the bank or finance company, stating that the loan is closed and that it has no objection to the hypothecation entry being cancelled. Many lenders give a loan closure letter or statement with it; keep both.
- Form 35The notice of termination of the hire-purchase, lease or hypothecation agreement, under Rule 61(1) of the Central Motor Vehicles Rules. The lender has to sign it, so ask for it at the same time as the NOC.
- The RCForm 35 itself says the certificate of registration goes in with the fee.
- The feeSet by each state. The portal shows the amount when you apply, so there is no single national figure to quote.
- Whatever else your state listsSome RTOs ask for more supporting documents than others. The application screen for your state is the list to follow.
Form 35, line by line
Form 35 is a single page and worth reading before anyone signs it. The registered owner and the financier jointly declare that the agreement between them has been terminated, and ask the registering authority to cancel the note about it in the certificate of registration of the vehicle, by number. The owner's mobile number goes on the form, and it says the RC and the fee are enclosed.
It is signed twice: by the registered owner, and by the financier with its official seal and address. It is made in duplicate, and in triplicate where the original registering authority is different from the current one, as with a car first registered in one state and later moved. Once the RTO records the cancellation in its register and on the RC, the endorsed copies go back to the financier and to the other registering authority.
The practical check is simple. Before the papers leave the bank, compare the vehicle number on the NOC and on Form 35 with the RC, and look for the seal and signature. A typo or a missing seal costs another trip to the bank, and some banks are slow to reissue.
The online route on Parivahan
Termination of a hire-purchase agreement is one of the 58 services the Ministry of Road Transport and Highways notified in S.O. 4353(E) on 16 September 2022 as available fully online through parivahan.gov.in or the mParivahan app. Aadhaar authentication is used on a voluntary basis. Someone without an Aadhaar number can still have the service done in physical form at the RTO by establishing identity with an alternative document.
- 1. Open Vahan citizen servicesFrom parivahan.gov.in, choose the state and RTO, or start with the registration number.
- 2. Pick the hypothecation termination serviceThe menu wording differs a little between states. Keep the owner's registered mobile number at hand, because the portal works on one-time passwords.
- 3. Pay and uploadPay the fee online and upload the NOC, Form 35 and anything else your state's screen asks for. Save the application number and the receipt.
- 4. Follow it to the endSome RTOs still want the original papers or a visit. Treat the job as done only when the registration record no longer shows the lender and you have the updated RC.
How long it takes
There is no national timeline to quote. Two clocks run one after the other: the lender's, from loan closure to a signed NOC and Form 35, and the RTO's, from application to an updated record. Both vary by lender and by state.
For a dealer the rule that follows is about promises. Do not give a buyer a delivery date that depends on hypothecation coming off until the registration record shows it gone. If the buyer is financing the car, their own lender's entry goes on after the transfer through Form 34, and that lender will want a clean record first.
Before you buy a car that still has a loan on it
A hypothecated car can be a perfectly good buy. It needs more care at the purchase desk than a clean one:
- Read the RC and the recordIs a lender named? Does the seller's story match? A seller who says the loan was closed years ago should be able to show the NOC.
- Get the payoff from the lenderAsk for the outstanding amount in writing from the lender, against the loan account number. The seller's estimate is not a payoff figure.
- Settle the loan before the seller is paidPay the lender directly from the purchase amount, keep the proof, and pay the balance to the seller after. Your CA can advise on how to record it.
- Hold the car back until the papers are in handA car is not ready for sale while the NOC and signed Form 35 are still at the bank.
- Sequence it with Form 29CIf you hold a dealer authorisation certificate, the owner's declaration in Form 29C says the vehicle is not held under a hire-purchase, lease or hypothecation agreement. Questions dealers ask
Does hypothecation come off the RC automatically when the loan is paid?
No. The lender closes the loan in its books, but the entry on the RC stays until the owner and the lender apply to the RTO with Form 35 and the lender's NOC, and the RTO records the cancellation.
Who signs Form 35?
The registered owner and the financier. The financier signs with its official seal and address.
Can hypothecation be removed online?
Yes. Termination of a hire-purchase agreement is among the 58 services notified in S.O. 4353(E) in 2022 as available fully online through Parivahan, with Aadhaar authentication on a voluntary basis. Without Aadhaar, the service can be taken at the RTO with an alternative identity document.
